Terms of Service

1. Acceptance of Terms

By accessing or using the Sgraal API, dashboard, or any related services (collectively, "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and Zs-Consulting Kft. ("Zs-Consulting", "we", "us", or "our"), the legal entity operating the Sgraal Protocol service ("Sgraal" or the "Service").

2. Description of Service

Sgraal provides a Memory Governance Protocol — an API layer that validates AI agent memory before action. The service includes preflight validation, risk scoring, compliance checking, repair planning, and related capabilities as described at sgraal.com.

3. Free Tier & Paid Plans

The free tier provides 10,000 audited decisions per month (via /v1/preflight) at no cost, no credit card required. Paid plans (Pro, Team) include a fixed monthly /v1/preflight audit allowance for a flat subscription fee — there are no per-decision charges and no overage fees. When a plan reaches its monthly audit allowance, further /v1/preflight requests are paused (HTTP 429) until the next billing cycle or until you upgrade to a higher plan. The /v1/check preview endpoint is unlimited across all tiers and does not count toward the audit allowance; preview responses are not included in the audit trail and do not generate Verifiable Credentials. Enterprise plans are available with custom pricing and allowances. All billing is processed through Stripe and governed by Stripe's terms.

We reserve the right to modify pricing with 30 days notice to registered users.

4. Acceptable Use

You may not use the Services to:

• Reverse engineer or attempt to extract our scoring models
• Circumvent rate limits or abuse the demo key
• Transmit malicious, illegal, or harmful content
• Resell API access without written permission
• Use the Services in violation of applicable law

5. API Keys & Security

You are responsible for keeping your API keys confidential. The demo key (sg_demo_playground) is public and rate-limited. Production keys must not be shared or committed to public repositories. Report suspected key compromise immediately to hello@sgraal.com.

6. Open Source License

The Sgraal core protocol is licensed under the Apache License 2.0. SDKs, client libraries, and the MCP server are available at github.com/sgraal-ai under Apache 2.0. The API service itself, scoring models, and calibrated weights are proprietary and not covered by the open source license.

7. Uptime & SLA

We target 99.9% uptime for the API. Free tier users receive best-effort availability. Pro users receive priority queue access. Enterprise customers receive contractual SLA with credits for downtime. Status updates are available on request via hello@sgraal.com.

8. Limitation of Liability

Sgraal provides memory governance decisions as advisory outputs. Final decisions remain with your system. We are not liable for actions taken or not taken by AI agents based on our scores. To the maximum extent permitted by law, our aggregate liability is limited to the fees paid in the preceding 3 months.

9. Termination

You may terminate your account at any time from the dashboard. We may suspend or terminate accounts that violate these Terms with or without notice. Upon termination, your data will be retained per our Privacy Policy and then deleted.

10. Governing Law

These Terms are governed by the laws of Hungary and the European Union. Disputes shall be resolved in the courts of Budapest, Hungary, unless otherwise required by applicable consumer protection law in your jurisdiction.
